Choose the right form

UAB or MB — which Lithuanian company should a foreigner choose?

A UAB is Lithuania’s private limited company; an MB is a lighter “small partnership”. Most foreign founders choose a UAB — it accepts corporate shareholders, supports hiring and investors, and is the form banks know best. An MB wins when you want zero capital requirement and minimal admin. Both are 100% open to foreigners and pay the same corporate tax rates.

Lithuanian company taxes in 2026 — what changed on 1 January

Lithuania raised its corporate income tax from 16% to 17% on 1 January 2026, and the small-company rate from 6% to 7%. One change favours new founders: the 0% tax holiday for newly registered small companies was extended from one year to two. VAT is unchanged — the standard rate is 21% and the registration threshold is €45,000, counted on your turnover in the current or the previous calendar year (since 1 May 2025, not a rolling 12 months). A separate €14,000 threshold applies to goods bought from other EU member states. Many pages online still show the old rates — always check the year a figure belongs to.

Open a Lithuanian company online — two routes

You never need to travel to Lithuania. Which route you take depends on one thing: whether you hold a Lithuanian mobile signature.

  • With a Lithuanian mobile signature (Smart-ID or Mobile-ID): every document is signed online and no notary is involved — the cheapest and fastest route. It is available to Lithuanian citizens and residents.
  • Without one — the route for most founders from abroad: you sign a power of attorney at a notary in your own country, and we prepare, sign, and file everything in Vilnius on your behalf. The notary charges €150–350 on top of our fee.

Residence

Does a company give you a residence permit?

Not automatically. A temporary residence permit on business grounds becomes available once the company has operated for at least 6 months and meets the 2026 thresholds: at least €28,000 in equity (of which €14,000 invested by you), a director or shareholder role with at least 1/3 of shares, and three full-time local employees. The permit is granted for two years and is renewable.

Banking

Opening the business bank account

The capital-deposit (accumulative) account is opened during formation. For everyday banking, EU-licensed fintechs — Paysera, Revolut Business, Wise Business — onboard Lithuanian companies remotely and suit most foreign founders. Traditional banks (SEB, Swedbank, Luminor) may ask for an in-person meeting.

Approval always rests with each institution’s compliance checks — no honest provider can promise an account. We prepare the application so it has the best possible chance.
